Board of Directors:
The Board of Directors is responsible for providing strategic direction and overall supervision for Alloha Fibra. In addition to monitoring the executive management, it serves as the guardian of the organization’s principles, values, purpose, and governance system, being its main component. It is composed of experienced members who represent the interests of shareholders and ensure that the company is managed according to the best governance standards. Their responsibilities include approving strategies, selecting the CEO, and overseeing the activities of senior management.
Financial Committee:
The Financial Committee is a specialized body that supports the Board of Directors in financial matters. Its members have experience in finance and accounting, providing guidance on financial policies, reviewing financial reports, monitoring financial risks, and supervising internal and external audits.
Operational Committee:
It is a strategic team that plays a crucial role in managing and executing the daily operations of the company. Its responsibilities cover a variety of areas, ensuring the efficient and effective functioning of the telecommunications infrastructure. Among its main functions and responsibilities are Network and Infrastructure Management, Technology Maintenance and Updates, Service Quality Assurance, and Regulatory Compliance.
People and Management Committee:
The People Committee is responsible for issues related to human resources and the human capital of the telecommunications company. Its members have experience in talent management, compensation and benefits, leadership development, and organizational culture. They work to ensure the attraction, retention, and development of the best professionals, promoting a healthy and inclusive work environment.
Implementation of the Code of Ethics and Conduct:
It is the cornerstone of Alloha’s Integrity Program and its subsidiaries, expressing a commitment to ethics and transparency and compliance with all applicable legislation, especially the Anti-Corruption Law (Law No. 12,846/2013), the Bidding Law (Law No. 14,133/2021), and the Competition Defense Law (Law No. 12,529/2011).
LGPD (General Data Protection Law):
We have a Data Protection Management Program to ensure compliance with the LGPD (General Data Protection Law) across the Alloha Fibra group, aiming to establish privacy governance mechanisms for the business.
